Terms of Service

1. Agreement to Legal Terms

These Terms of Service form a legally binding agreement between you and Addis AI Technologies PLC, operating as Addis AI and Addis Assistant.

The terms apply to our websites, mobile applications, voice assistant features, APIs, and related services that reference these terms, including Addis Assistant AI.

By accessing or using our services, you agree to be bound by these terms. If you do not agree, you must stop using the services immediately.

If you are under the age of majority in your jurisdiction, you may only use the services with parental or guardian permission and supervision.

2. Our Services

We provide language and voice AI services, including Amharic native assistant capabilities with text and spoken responses.

The services are not directed to any jurisdiction where use would be unlawful or would require us to obtain additional registration.

The services are not designed for industry-specific compliance frameworks such as HIPAA, FISMA, or GLBA. You must not use the services where those frameworks apply unless you independently ensure full legal compliance.

3. Eligibility, Accounts, and User Representations

By using the services, you represent that:

  • information you provide is accurate, current, and complete;
  • you have legal capacity to accept these terms;
  • you will not use automated or non-human means to access services without permission;
  • your use complies with all applicable law.

You are responsible for maintaining the confidentiality of account credentials and all activity under your account.

We may suspend or terminate accounts with inaccurate information, abusive behavior, or legal violations.

4. Purchases and Payments

If paid services are offered, you agree to provide complete and accurate payment information and to pay all applicable charges, taxes, and fees.

Prices may change at any time. We may refuse or cancel orders in cases including suspected fraud, abuse, pricing errors, or policy violations.

5. Intellectual Property Rights

We and our licensors own all rights in the services, including software, models, content, branding, and related intellectual property.

Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the services for personal, internal business, or otherwise authorized purposes.

Except as expressly permitted, you may not copy, modify, publish, distribute, reverse engineer, sell, license, or exploit our services or content without prior written permission.

6. Submissions, Input, and Feedback

You are solely responsible for content you submit, upload, or input into the services, including text, audio, prompts, and other data.

You represent that you have all rights needed for your submissions and that they do not violate any law or third-party rights.

As between you and us, you retain ownership of your input. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your input to provide, maintain, secure, and improve the services.

Feedback and suggestions may be used by us without restriction or compensation.

7. Prohibited Activities

You agree not to:

  • violate any applicable law, regulation, or third-party right;
  • circumvent service security or access controls;
  • scrape, automate, mine, or extract service data without written permission;
  • upload malware, harmful code, spam, or abusive content;
  • impersonate others, misrepresent identity, or create deceptive or fraudulent content;
  • use services to compete with us or for unauthorized commercial exploitation.

In addition, you agree not to use the services to:

  • generate content that violates Ethiopian law, including Proclamation No. 1185/2020;
  • create deepfakes or unauthorized impersonation of persons, officials, or entities;
  • incite violence or promote illegal acts.

We may immediately suspend or terminate access for prohibited use.

8. Mobile Application License

If you use our app, we grant a limited, revocable, non-transferable license to install and use it on devices you own or control, subject to these terms.

You must comply with applicable Apple App Store and Google Play terms. App distributors are third-party beneficiaries of this section where applicable.

9. Third-Party Websites and Content

Our services may contain links to third-party websites, products, or content. We do not control and are not responsible for third-party terms, content, privacy practices, or transactions.

10. Service Management and Availability

We may monitor services for compliance, investigate misuse, and take enforcement actions including restriction, suspension, removal, or termination.

We may modify, suspend, or discontinue any part of the services at any time. Availability may be interrupted by maintenance, infrastructure, or third-party failures.

11. Privacy Policy

Our privacy practices are described in the Privacy Policy at /privacy-policy. By using the services, you agree to that policy.

Where cross-border processing applies, you consent to transfer and processing of data as described in the Privacy Policy.

12. Term and Termination

These terms remain effective while you use the services. We may deny access, suspend, or terminate accounts at our discretion for legal, security, abuse, or policy reasons.

If your account is terminated, you may not create replacement accounts using false identities or third-party identities.

13. Governing Law and Dispute Resolution

These terms are governed by the laws of the Federal Democratic Republic of Ethiopia.

The courts of Addis Ababa, Ethiopia have jurisdiction where court proceedings are required.

Before arbitration, parties agree to attempt informal negotiation for at least 30 days after written notice.

Unresolved disputes will be finally resolved by arbitration administered by the Addis Ababa Chamber of Commerce and Sectoral Associations Arbitration Institute (AACCSA), with:

  • one arbitrator;
  • seat of arbitration in Addis Ababa, Ethiopia;
  • proceedings in English;
  • substantive governing law of Ethiopia.

Class, collective, and representative proceedings are not permitted to the fullest extent allowed by law.

Disputes concerning intellectual property, injunctive relief, theft, piracy, invasion of privacy, or unauthorized use may proceed in court.

14. AI Service Disclaimer

The services use experimental artificial intelligence. Outputs may be inaccurate, offensive, incomplete, or hallucinated. We do not guarantee output correctness or fitness for your use case.

The services do not provide medical, legal, financial, or other professional advice. You are responsible for independent review and decision-making.

15. Disclaimer and Limitation of Liability

Services are provided as is and as available, to the fullest extent permitted by law, without warranties of any kind, express or implied.

To the fullest extent permitted by Ethiopian law, we are not liable for indirect, consequential, incidental, special, punitive, or exemplary damages, including lost profits, lost revenue, or loss of data.

Our total liability for any claim related to a paid transaction is limited to the amount you paid for the specific transaction that gave rise to the claim. If no payment was made, our total liability is limited to 1,000 ETB.

16. Indemnification

You agree to defend, indemnify, and hold harmless Addis AI and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from your use of services, your breach of these terms, or your violation of law or third-party rights.

17. User Data

We may maintain operational records and backups related to service performance and integrity. You remain responsible for your own data preservation and exports where needed.

18. Electronic Communications

You consent to electronic notices, records, signatures, and communications, including email and in-service notifications, where legally permitted.

19. Miscellaneous

These terms and referenced policies form the entire agreement between you and us regarding the services. If any provision is found unenforceable, remaining provisions continue in effect.

Our failure to enforce a provision does not waive that provision. We may assign rights and obligations under these terms where permitted by law.
